Monopoly Rights in PCD Pharma Franchise: What to Get in Writing

Monopoly rights protect the doctor relationships you build — but only if the terms are clear. Here are the clauses every PCD franchise agreement should include.

A monopoly right means the company will not appoint another franchise partner for the same products in your territory. It is the main reason distributors invest time in building prescriptions — so the terms must be specific and written down.

Clauses to include in the agreement

1. Territory

Name the exact districts, cities or blocks. “Punjab” is too vague; “Ludhiana and Moga districts” is clear.

2. Products covered

Monopoly may cover the whole range, one division or a specific product list. Attach the list to the agreement, and agree how new launches will be treated.

3. Minimum purchase target

Most companies link monopoly to a monthly, quarterly or yearly purchase target. Note the amount, the period and what happens if you miss it — a warning period is fairer than immediate cancellation.

4. Pricing and price changes

Attach the current PTS / PTR list and agree on notice before prices change.

5. Promotional support

List the inputs the company will provide — visual aids, samples, reminder cards, MR bags — and how often.

6. Supply, expiry and returns

Dispatch time, freight terms, the minimum shelf life of supplied stock, and the policy for near-expiry, expired and damaged goods.

7. Duration, renewal and exit

Agreement period, how renewal works, notice period for either side, and how remaining stock is settled on exit.

8. Dispute resolution

Jurisdiction and a simple process for resolving disagreements.

Practical tips

  • Ask the company whether anyone else already holds monopoly for any part of your territory.
  • Keep copies of all orders and invoices — they prove you met your target.
  • Speak to one or two existing partners about how the company honours monopoly.
